Juris Corp acted as the transaction counsel in relation to the issue of secured, unlisted, rated, redeemable non-convertible debentures on a private placement basis aggregating to INR 20 crores (“NCDs”) issued by Visage Holdings and Finance Private Limited under the brand Kinara Capital, a non banking finance company broadly focused in providing financial solutions to MSMEs. The NCDs were fully subscribed by a Vivriti Emerging Corporate Bond Fund, a category II alternative investment fund.

The NCDs were secured by a first ranking exclusive hypothecation over the receivables of the Issuer meeting certain eligibility criteria as agreed between the parties.

Juris Corp advised on the structure, drafting, negotiation and finalization of all the transaction related documents and compliances for the purpose of the said issue of NCDs.
